1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the website located at www.spectatorhealth.com (the "Site"), the Spectator Health desktop portal, mobile application, and clinical platform (collectively, the "Platform"), and all related services offered by Spectator Health, Inc., a Delaware corporation ("Spectator Health," "we," "us," or "our").

By visiting the Site, registering for a trial, attending a webinar, or accessing the Platform in any way, you ("User" or "you") agree to be bound by these Terms. If you are accessing the Platform on behalf of a facility, clinic, or organization, you represent that you have authority to bind that organization to these Terms.

If you do not agree to these Terms, do not use the Site or Platform.

2. About Our Platform

Spectator Health provides a cloud-based clinical management suite designed for healthcare professionals, including physicians, nurses, caregivers, and clinicians. The Platform includes tools for:

  • Patient care and clinical documentation
  • Medication management and electronic prescribing (eRx)
  • Vitals monitoring and tracking
  • Clinical notes and records management
  • Analytics and reporting

The Platform is intended solely for use by licensed healthcare professionals and authorized personnel within healthcare facilities and organizations operating in the United States.

3. Eligibility

To use the Platform, you must:

  • Be at least 18 years of age
  • Be a licensed healthcare professional, authorized clinician, caregiver, or administrative staff member of a healthcare facility
  • Be located in and operate within the United States
  • Have the authority to bind your organization if registering on its behalf

The Platform is not intended for use by patients directly, nor for personal, non-clinical use. We reserve the right to deny access to anyone who does not meet these eligibility requirements.

4. Accounts and Access

4.1 Account Registration

To access the Platform, you or your organization must create an account. You agree to provide accurate, current, and complete information during registration and to keep that information updated.

4.2 Credentials

You are responsible for maintaining the confidentiality of your login credentials. You may not share your username or password with any other individual. You agree to notify us immediately at info@spectatorhealth.com if you become aware of any unauthorized access to your account.

4.3 Authorized Use

Your account is personal to you and may not be transferred. Access credentials may be reassigned by your organization's administrator to a new individual replacing one who no longer requires access.

4.4 Trial Accounts

If you register for a free trial, your access is limited to the trial period specified at sign-up. At the end of the trial period, continued access requires entering into a subscription agreement with Spectator Health. We reserve the right to modify or terminate trial access at any time.

5. Relationship to Other Agreements

5.1 Master Services Agreement

If your organization has executed a Master Services Agreement ("MSA") with Spectator Health, the terms of that MSA govern your use of the Platform with respect to any conflict with these Terms. These Terms apply to all users and uses not fully addressed by an executed MSA.

5.2 Subscription Agreement

Smaller facilities and organizations that subscribe to the Platform through our self-serve or webinar sign-up process may be subject to a Subscription Agreement in lieu of a full MSA. In the event of any conflict between these Terms and a Subscription Agreement, the Subscription Agreement controls.

5.3 Business Associate Agreement

To the extent your use of the Platform involves protected health information ("PHI") as defined under HIPAA, Spectator Health and your organization will execute a Business Associate Agreement ("BAA") as required by applicable law. Use of the Platform for purposes involving PHI without an executed BAA is not permitted.

6. Acceptable Use

You agree to use the Site and Platform only for lawful, clinical, and professional purposes. You agree not to:

  • Use the Platform for any purpose other than legitimate clinical care and healthcare administration
  • Access or attempt to access another user's account without authorization
  • Share login credentials with any other individual
  • Upload, transmit, or store any data that infringes third-party rights or violates applicable law
  • Use the Platform to transmit viruses, malware, or any other harmful code
  • Reverse engineer, decompile, or disassemble any part of the Platform
  • Scrape, copy, or reproduce any portion of the Platform or its content
  • Use the Platform to build a competing product or service
  • Circumvent any access controls, usage limits, or security measures
  • Use the Platform in violation of any applicable federal, state, or local law, including HIPAA and applicable state health data privacy laws

7. Healthcare Disclaimer

The Platform is a clinical management and documentation tool. It is designed to support — not replace — the professional judgment of licensed healthcare providers.

Spectator Health does not provide medical advice, diagnosis, or treatment. All clinical decisions remain the sole responsibility of the licensed healthcare professional using the Platform. Nothing in the Platform should be construed as a substitute for professional medical judgment.

8. Patient Data and HIPAA

To the extent the Platform is used to create, receive, maintain, or transmit PHI, Spectator Health operates as a Business Associate under HIPAA. Your organization, as the Covered Entity, is responsible for ensuring that:

  • Appropriate privacy notices are in place for your patients
  • You have obtained all necessary consents for the use and disclosure of patient information
  • Your use of the Platform complies with all applicable Data Protection Laws

Patient-facing privacy practices are governed by your organization's own privacy policy, not these Terms or Spectator Health's Privacy Policy.

9. Intellectual Property

All content, software, technology, trademarks, logos, and materials on the Site and Platform are the property of Spectator Health or its licensors and are protected by applicable intellectual property laws. Nothing in these Terms grants you any ownership interest in the Platform or its content.

You may not use Spectator Health's name, logo, or trademarks without our prior written consent. Any feedback, suggestions, or ideas you provide to us regarding the Platform may be used by Spectator Health without restriction or compensation to you.

10. Privacy

Your use of the Site and Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our Site or Platform, you consent to the data practices described in the Privacy Policy.

11. Fees and Payment

If you subscribe to the Platform through a paid plan:

  • Fees are as set forth in your applicable Order, Subscription Agreement, or MSA
  • Payment processing is handled by Stripe, Inc. and is subject to Stripe's terms and privacy policy
  • Fees are non-refundable except as expressly stated in your subscription or services agreement
  • Late payments may result in suspension of your account

12. Webinars and Marketing Events

If you register for a Spectator Health webinar, demo, or other event, you agree that we may use your contact information to follow up regarding our products and services. You may opt out of marketing communications at any time by following the unsubscribe instructions in any email we send you.

13. Disclaimers

THE SITE AND PLATFORM ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. SPECTATOR HEALTH DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

14. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SPECTATOR HEALTH SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOSS OF DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SITE OR PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

SPECTATOR HEALTH'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO SPECTATOR HEALTH IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100).

15. Indemnification

You agree to indemnify, defend, and hold harmless Spectator Health and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Site or Platform in violation of these Terms; (b) your violation of any applicable law or regulation; or (c) your organization's failure to comply with HIPAA or applicable data protection obligations.

16. Term and Termination

These Terms are effective as long as you use the Site or Platform. We reserve the right to suspend or terminate your access at any time, with or without notice, if we believe you have violated these Terms or for any other reason at our discretion. Upon termination, your right to access the Platform ceases immediately. Sections 9, 13, 14, 15, 17, and 18 survive termination.

17. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the State of California, without regard to its conflict of laws principles. Any dispute arising out of or related to these Terms or your use of the Site or Platform shall be brought exclusively in the state or federal courts located in California, and you hereby consent to the personal jurisdiction of such courts.

The United Nations Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transactions Act (UCITA) do not apply to these Terms.

18. General Provisions

18.1 Entire Agreement

These Terms, together with the Privacy Policy and any applicable MSA, Subscription Agreement, or BAA, constitute the entire agreement between you and Spectator Health regarding your use of the Site and Platform.

18.2 Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on the Site and updating the "Last Updated" date. Your continued use of the Site or Platform after such changes constitutes your acceptance of the revised Terms.

18.3 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

18.4 No Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.

18.5 Assignment

You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights freely.
