Spectator Health Privacy Policy

In this Privacy Policy (“Policy”), we describe how Spectator Health Inc. (“Spectator Health”) collects, uses, and discloses information that we obtain about visitors to our website www.spectatorhealth.com and other related internet properties where this Policy is posted (the “Site”), users of our desktop application (the “Portal”) and companion mobile application(s) (the “App”, and together with the Portal, the “Platform”) and the services available through our Site and Platform (collectively, the “Services”).

By visiting the Site, using or downloading the Platform, or using any of our Services, you agree that your personal information will be handled as described in this Policy. Your use of our Site or Services, and any dispute over privacy, is subject to this Policy and our Terms of Service, including its applicable limitations on damages and the resolution of disputes. The Spectator Health Terms of Service are incorporated by reference into this Policy.

The Information We Collect About You

We collect information about you directly from you and from third parties, and automatically through your use of our Site and Platform. The information we collect from you depends on how you use our Services.

Information We Collect From Website Visitors. If you choose to contact us through our Site, we will collect your name, email address, phone number and the content of the message that you send to us. If you request a demo through our Site, we will ask you for your name and email address so that we can provide you with that demo and other information regarding our Services.

Information We Collect Automatically. We automatically collect information about your use of our Site, and Platform through cookies, web beacons, and other technologies, including technologies designed for mobile apps, and we may combine this information with other information we collect about you.

When you visit our Site or use our Platform, we may automatically collect:

  • Domain name
  • Mobile device ID
  • Your browser type and operating system
  • Device information
  • Device ID
  • IP address
  • Web pages you view
  • Links you click
  • The length of time you visit our Site or use our Services
  • The referring URL, or the webpage that led you to our Site
  • Your location information based on your IP address

Information We Collect in Our Capacity as a Service Provider of our Platform

We receive information about individuals who our customers authorize to use our Platform, including caregivers, in our capacity as a service provider to those customers. For example, our customers will provide information about caregivers or pharmacy users who access our Platform to process prescriptions at a customer’s request, such as their name and email address, so that we can create log-in credentials for the users. We may also request additional information from users to create those accounts. Where our App allows users to authenticate to the App using facial recognition technology, this technology is provided by Apple, and Apple’s privacy policies apply.

We use and share information about Platform users in accordance with the contractual terms with our customer and the customer controls the functions that it wants to use. We share the information that we collect in our capacity as a service provider in accordance with the terms of our agreement with our customer and as described below.

If you are a patient, the privacy practices related to the information that caregivers enter about you into the Platform (including images of you that your caregiver captures using our Services) are covered by our customer’s (who is your care provider) privacy policy and not this Policy. If you have any questions about the information collected from you as a patient and how it is used and shared, please contact your care provider facility.

How We Use Your Information

We use your information, including your personal information, for the following purposes:

  • Transactional Purposes. To provide our Services to you; to communicate with you about your use of our Services, to respond to your inquiries, and for other customer service purposes.
  • Analytics. To better understand how users access and use our Services, both on an aggregated and individual basis. For example, we will evaluate which features of our Site and Platform are most used by users.
  • Surveys and Questionnaires. To administer surveys and questionnaires, such as for market research or customers satisfaction purposes.
  • Compliance. To comply with legal obligations, as part of our general business operations, and for other business administration purposes.
  • Protection. Where we believe necessary to investigate, prevent or take action regarding illegal activities, suspected fraud, situations involving potential threats to the safety of any person or violations of our Terms of Service or this Privacy Policy.

SMS/Text Message Notifications

Spectator Health offers SMS (Short Message Service) text message notifications as an optional feature of our Services. This section describes our practices regarding SMS notifications.

Types of Messages

If you opt in to SMS notifications, you may receive transactional text messages related to your use of our Platform, including:

  • Alerts when new messages are sent to you by care team members or family portal users;
  • Notifications when a video visit is being initiated for a patient you are connected to; and
  • Alerts when new documents are shared for your review.

We do not send marketing, promotional, or advertising messages via SMS. All text messages are transactional in nature and directly related to your use of our Services.

Consent and Opt-In

SMS notifications are disabled by default. You must explicitly opt in to receive SMS notifications by enabling the “Receive SMS notifications” setting on your profile page within the Platform. By opting in, you consent to receive transactional text messages at the phone number associated with your account. You must have a valid mobile phone number on file to receive SMS notifications.

Your consent to receive SMS notifications is not a condition of using our Services or making any purchase.

Opt-Out and STOP

You may opt out of SMS notifications at any time by:

  • Disabling the “Receive SMS notifications” setting on your profile page within the Platform; or
  • Replying STOP to any SMS message you receive from us.

After opting out, you will receive a one-time confirmation message and will no longer receive SMS notifications. You may opt back in at any time through your profile settings.

HELP

For assistance with SMS notifications, you may reply HELP to any message you receive from us, contact your facility administrator, or reach us using the contact information at the end of this Policy.

Message Frequency and Charges

Message frequency varies based on care team and portal activity. Standard message and data rates from your mobile carrier may apply. Spectator Health does not charge any fee for SMS notifications.

Carriers

SMS notifications are supported on major U.S. wireless carriers. Carriers are not liable for delayed or undelivered messages.

Information Collected for SMS

To provide SMS notifications, we collect and use your mobile phone number and notification preferences (opt-in status). We log message delivery records for service reliability and audit purposes. We do not share your phone number with third parties for their marketing purposes. Our SMS service provider (Twilio, Inc.) processes your phone number solely to deliver messages on our behalf, subject to their privacy policy and our data processing agreements.

How We Share Your Information

We may share your information, including personal information for the following reasons:

  • Service Providers. We share the information we collect from you with service providers, contractors or agents who perform services for us. These service providers include vendors who host our Site and Platform and who provide us with other IT and information security related services.
  • Affiliates. We disclose the information we collect from you to companies in our corporate group.
  • Customers. We share the information that we collect about you through the Platform with our customers who have contracted for the services that you use through the Platform.
  • Pharmacies. We share information with pharmacies that process prescriptions for our customers.

We also share information in the following circumstances:

  • Business Transfers. If (i) we or our affiliates are or may be acquired by, merged with, or invested in by another company, or (ii) if any of our assets are or may be transferred to another company, whether as part of a bankruptcy or insolvency proceeding or otherwise, we may transfer the information we have collected from you to the other company. As part of the business transfer process, we may share certain of your personal information with lenders, auditors, and advisors, including attorneys and consultants.
  • In Response to Legal Process. We disclose your information to comply with the law, a judicial proceeding, court order, or other legal process, such as in response to a court order or a subpoena.
  • To Protect Us and Others. We disclose your information when we believe it is appropriate to do so to investigate, prevent, or take action regarding illegal activities, suspected fraud, situations involving potential threats to the safety of any person, violations of our Terms of Service or this Privacy Policy, or as evidence in litigation in which we are involved.

Our Use of Cookies and Other Tracking Mechanisms

We and our service providers use cookies and other tracking mechanisms to track information about your use of our Site or Services. We may combine this information with other personal information we collect from you (and our service providers may do so on our behalf).

Cookies. Cookies are identifiers that we transfer to your device’s hard drive through your web browser for record-keeping purposes. Some cookies allow us to make it easier for you to navigate our Site and Services, while others are used to enable a faster log-in process or to allow us to track your activities at our Site and Service. There are two types of cookies: session and persistent cookies.

  • Session Cookies. Session cookies exist only during an online session. They disappear from your device when you close your browser or turn off your device. We use session cookies to allow our systems to uniquely identify you during a session or while you are logged into the Site and Services. This allows us, for example, to verify your identity, after you have logged in, as you move through our Site and Services.
  • Persistent Cookies. Persistent cookies remain on your device after you have closed your browser or turned off your device. We use persistent cookies to track aggregate and statistical information about user activity.

Disabling Cookies. Most web browsers automatically accept cookies, but if you prefer, you can edit your browser options to block them in the future. The Help portion of the toolbar on most browsers will tell you how to prevent your computer from accepting new cookies, how to have the browser notify you when you receive a new cookie, or how to disable cookies altogether. Visitors to our Site and Services who disable cookies will be able to browse some areas of the Site, but some features may not function.

Do-Not-Track. Currently, our systems do not recognize browser “do-not-track” requests. You may, however, disable certain tracking as discussed in this section (e.g., by disabling cookies).

Our Site and Services may contain links to third-party websites. Any access to and use of those linked websites is not covered by this Policy, but instead is covered by the privacy policies of those third-party websites. We are not responsible for the information practices of those third-party websites.

Security of My Personal Information

We have implemented precautions to protect the information we collect from loss, misuse, and unauthorized access, disclosure, alteration, and destruction, but no data security measures can guarantee security.

You should take steps to protect against unauthorized access to your password, phone, and computer by, among other things, signing off after using a shared computer, choosing a robust password that nobody else knows or can easily guess, and keeping your log-in and password private. We are not responsible for any lost, stolen, or compromised passwords or for any activity on your account through unauthorized password activity.

Access To Your Personal Information

You may modify personal information that you have submitted by logging into your account or by emailing us using the contact information included below. Please note that copies of information that you have updated, modified or deleted may remain viewable in cached and archived pages of the Site for a period of time.

Payment Information

We collect payment and billing information when you subscribe to our Services. This includes your name, billing address, and payment card details.

Payment processing is handled by Stripe, Inc. Your payment information is transmitted directly to Stripe via encrypted connection and is subject to Stripe’s Privacy Policy and PCI-DSS security standards. We retain only:

  • Last four digits of your card
  • Card brand (Visa, Mastercard, etc.)
  • Billing address
  • Transaction history

We use this information to:

  • Process your subscription payments
  • Send invoices and receipts
  • Manage billing inquiries
  • Comply with financial recordkeeping requirements

We do not sell payment information to third parties.

Children Under 13

Our Services are not designed for children under 13. If we discover that a child under 13 has provided us with personal information, we will delete that information from our systems.
